      Private Equity Industry Orange County Update

      Necessity is the mother of invention.  While going public is an increasingly difficult option for start-up companies, going private is an increasingly attractive possibility – that is, the opportunities associated with private equity financing. Did you know that more OC companies have gone private in the last few years than have gone public? Further, many OC company founders get growth capital and liquidity exits not through M&A but through private equity. Private equity is a large and dynamic asset class with deals in Orange County that can range from several million dollars to multi-billion dollars.

      Private equity firms range from small boutique funds with $50-$100 Million under management to large, multiple-sector, multi $Billion megafunds.  This OCTANe Capital Connections program will examine the current state of private equity financing in Southern California, around the country, and around the world.  In addition, we will explore the specific goals and objectives for both the companies and the private equity firms in successfully executing a private equity deal.  What types of deals make sense for private equity financing? What are some of the new models for raising PE and investing in PE funds?

      These and other questions will be answered by this expert and experienced panel representing the full range of private equity funds.

      Speakers:

      Ellen Bancroft - Partner, Dorsey & Whitney

      Ms. Bancroft is a partner with Dorsey & Whitney LLP, a full service international law firm with approximately 650 attorneys in 19 offices throughout the US and in Asia, Canada, Europe and Australia.  Ellen is the head of Dorsey's California Corporate Group and has extensive experience representing public and private companies and investors in mergers and acquisitions and private financings, as well as representing issuers and underwriters in initial public offerings and registered follow-on and secondary public offerings. She has worked on more than more than 50 public and private acquisitions ranging in size from several million dollars to over $1 billion and more than 35 public offerings raising in excess of $1 billion. Her practice includes a broad range of corporate and securities transactional matters, Securities and Exchange Commission regulatory matters, NYSE and Nasdaq compliance matters, general corporate counseling and corporate governance compliance.   She serves as general counsel to many of her clients and their management and boards of directors, helping to shape and execute their business strategies and advising them on day-to-day legal and other strategic issues.

      Jeremy Holland - Regional Director, The Riverside Company

      Jeremy Holland is the Regional Director of Origination for The Riverside Company.  The Riverside Company is one of the largest private equity firms focused on the smaller end of the middle market.  Riverside specializes in buying premier companies with enterprise values of less than $200 million, and partners with strong management teams to build companies through acquisitions and value-added growth.  Since 1988, the firm has invested in more than 275 transactions with a total enterprise value of $7.4 billion.  The current portfolio contains 82 companies in North America, Europe, and Asia with total aggregate sales of $3.8 billion and EBITDA of $611 million with more than 14,000 employees. Prior to joining Riverside, Jeremy was a Principal with Vintage Fund Management.  He also spent six years with Wedbush Capital Partners.  Jeremy started his career in private equity with Buttonwood Capital.  In total, he has 14 years of private equity experience across a broad range of industries, sizes of companies and investment structures.

      Murray Rudin - General Partner, Riordan, Lewis & Haden

      Murray E. Rudin is a General Partner of Riordan, Lewis & Haden, a leading private equity firm which invests in high-growth middle market enterprises.  Focused on business services, healthcare, and government services, RLH has a demonstrated track record of consistent success over the past 30 years.  The firm currently manages over $650 million of assets and is actively seeking new portfolio companies.  Murray has been a director of ten RLH portfolio companies and is engaged in all phases of the private equity process, including sourcing, evaluating, and structuring new investments as well as assisting portfolio companies with the opportunities and challenges of growth.Mr. Rudin holds a B.S. in electrical engineering from the University of Rochester and a J.D. from Harvard Law School.  He is a member of the Board of the Forum for Corporate Directors and the Trustees’ Visiting Committee of the University of Rochester School of Engineering and Applied Science.  He has previously been Vice Chair of the Board of Directors of the Discovery Science Center, a member of the Board of Counselors of Chapman University, and a Director of the Orange County chapter of the Association for Corporate Growth.

      Robert W. Schult - Co-founder, VMG Partners

      Mr. Schult co-founded VMG Partners in 2005, and currently focuses on monitoring portfolio companies. Mr. Schult serves on the Board of Timbuk2 and previously served on the Board of Waggin’ Train before it was sold to Nestlé Purina PetCare. Prior to VMG Partners, Mr. Schult spent almost three decades in the consumer products goods industry. From 2002 to 2005, Mr. Schult was the Chairman and Managing Director of TSG’s operating platform. Prior to joining TSG, he was the Chairman and CEO of Novopoint, Inc., a supply chain management technology company for the food and beverage industry. Before Novopoint, Mr. Schult was the President and Chief Operating Officer of Nestle USA, Inc., where he began his 28-year tenure at Carnation. Mr. Schult managed the U.S. business of Nestle representing sales of $8 billion, with such well known brands as Nestle, Stouffer’s, Hills Bros, Libby’s, Carnation, Buitoni, and Friskies, among others. Mr. Schult has served on numerous boards including The Times Mirror Company, owner of the Los Angeles Times and Chairman of the Grocery Manufacturers of America’s Industry Productivity Council. He currently serves on the Advisory Board of UCLA's Anderson School of Business. Mr. Schult received his B.A. in Political Science from the University of North Carolina.

      Fred Thiel - Managing Partner, Triton Pacific Capital PartnersFred Thiel is the Managing Partner, Software/Information Technology Group at Triton Pacific Capital Partners. Fred brings over 20 years experience managing software and technology companies for rapid growth in both revenue and shareholder value. Prior to joining Triton Pacific, Fred was CEO of several companies including GameSpy Industries, a leader in on-line media, where Fred dramatically grew revenues and then sold the company to a strategic acquirer at industry leading multiples in under twelve months and Lantronix, a pioneer and leader in device networking, M2M and systems management technology, where Fred repositioned the company, doubled revenues in four years, acquired and integrated four companies and successfully raised over $120 million through an IPO and follow-on secondary offering. Fred attended the Stockholm School of Economics. Fred is fluent in English, Spanish, Swedish and French.
